Terms of Service

1. Who you are contracting with

AgentListKeep ("the Service") is operated by Chad Clatterbuck ("we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service. Where you use the Service on behalf of a brokerage or organisation, you confirm you have authority to do so. Contact: agentlistkeep@gmail.com.

2. What AgentListKeep is

AgentListKeep is an AI-assisted productivity, organization, drafting, and work-preparation tool for real estate professionals. It stores the property details, feedback, and history you enter and prepares drafts for you to review — listing copy, seller updates, open house follow-ups, and message replies. We do the prep. You make the call.

AgentListKeep is not:

• a real estate broker or brokerage;
• an MLS;
• an appraiser or valuation service;
• an attorney or law firm;
• a tax advisor or financial advisor;
• a compliance authority or transaction-management authority;
• an autonomous decision-making or communication agent.

3. AI output and human review

• AI-generated output may contain errors, omissions, outdated information, or inappropriate wording.
• Everything the Service produces is assistance in draft form and must be reviewed by you before it is used.
• You remain responsible for verifying facts and deciding whether any generated content is appropriate to use.
• AgentListKeep does not replace your professional judgment.

4. Your responsibilities as a real estate professional

You remain responsible for complying with all applicable laws and regulations, fair-housing requirements, advertising requirements, licensing obligations, MLS rules, association rules, brokerage policies, broker instructions, disclosure obligations, and professional standards. Where appropriate, consult your broker, MLS, attorney, accountant, or another qualified professional. AgentListKeep does not determine whether anything is legally compliant.

5. Property facts

You are responsible for confirming property facts before using generated material publicly or sharing it with clients or consumers. AgentListKeep may organize or reuse information you supply or confirm, but it does not independently verify or guarantee the accuracy of property information.

6. Pricing and valuation

AgentListKeep does not:

• determine property value;
• perform an appraisal;
• independently recommend or set a listing price;
• make pricing decisions on behalf of the REALTOR or the seller.

The Service may organize activity, feedback, information, and possible discussion points. Pricing decisions remain with the REALTOR and the seller.

7. No guaranteed results

AgentListKeep does not guarantee showings, inquiries, leads, offers, buyers, closings, sales, specific sale prices, marketing performance, response rates, transaction outcomes, or any business income or commissions.

8. No automatic action

AgentListKeep does not automatically:

• send emails or text messages;
• contact clients, buyers, or other agents;
• publish listings or social posts;
• change listing prices;
• make promises or commitments on your behalf;
• perform REALTOR actions or make decisions for you.

Copying or saving generated work does not send or publish it. You control whether and how any generated material is used.

9. Fair housing and sensitive communications

You are responsible for reviewing all generated marketing and communications for fair-housing compliance and other applicable real estate advertising rules before use. AgentListKeep does not provide a legal fair-housing determination.

10. Not professional advice

Content produced by or through AgentListKeep is not legal, tax, financial, appraisal, valuation, or other regulated professional advice.

11. Acceptable use

You must not use the Service to:

• break the law, defraud, spam, or harass;
• create discriminatory, hateful, deceptive, or fair-housing-violating content, deepfakes, or impersonations;
• infringe anyone's intellectual property, privacy, or other rights;
• interfere with security — malware, probing, scraping, circumventing rate or plan limits, or attempting to bypass the Service's safety behaviour;
• reverse engineer, resell, or redistribute the Service.

We may remove or restrict content, refuse or filter outputs, and suspend accounts to enforce this section. If you believe content on the Service infringes your rights, contact us (see section 20).

12. Account scope

AgentListKeep Professional is intended for use by one individual REALTOR. Each account is for the person who created it, and login credentials should not be shared with other agents, team members, assistants, brokerages, or other third parties. Separate users should maintain separate accounts. AgentListKeep may restrict or suspend access where an account is being shared or used by multiple people in a manner inconsistent with the intended single-user nature of the service.

13. Reasonable Use

AgentListKeep Professional is intended for normal individual REALTOR business use. AgentListKeep may apply reasonable usage limits, restrictions, or other protective measures when necessary to prevent abuse, excessive automated activity, system disruption, unusually high resource consumption, or use that is inconsistent with the intended purpose of the service.

Any such measures are intended to protect the reliability, security, and availability of AgentListKeep for all users and are not intended to restrict ordinary listing activity by an individual REALTOR.

14. Your content and our intellectual property

You retain ownership of the content you enter, and as between you and us you own the outputs generated from your inputs. You grant us a limited licence to host and process your content solely to operate and provide the Service. We retain ownership of the Service itself, including the software, prompts, documentation, and branding; you receive a limited, non-exclusive, non-transferable right to use it within your plan.

15. Availability

We work to keep the Service available, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

16. Payments and subscriptions

Our order process is conducted by Paddle.com, which is the Merchant of Record for our orders where applicable and handles billing, renewals, and taxes under Paddle's Buyer Terms. Subscriptions renew automatically until cancelled; you can cancel at any time from your account. See our Refund Policy.

17. Data after subscription ends

When a Professional subscription ends, access to paid features may end in accordance with the subscription terms. AgentListKeep does not guarantee indefinite storage, retention, or recovery of account data after paid access ends.

We may retain account information and saved content for a period of time for operational, security, legal, backup, or recordkeeping purposes, but we reserve the right to delete or remove data after the subscription has ended, subject to applicable law.

Users are responsible for retaining any information they wish to keep outside of AgentListKeep.

18. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination you may export your saved work during a reasonable window, after which your data may be deleted.

19. Liability

We are not liable for indirect, consequential, or special damages, including lost profits, lost data, or lost goodwill. Our aggregate liability is limited to the fees you paid in the twelve months before the claim. Nothing excludes liability that the law does not allow to be excluded. You indemnify us against claims arising from your content, your unlawful use, or your breach of these Terms.

20. General and contact

These Terms are governed by the laws of the State of Texas, USA, and disputes are subject to its courts. You may not assign these Terms without our consent.
